# 2. Client Responsibilities
The Client agrees to:
* Provide accurate and complete information.
* Deliver requested materials in a timely manner.
* Cooperate throughout the project.
* Review deliverables without unreasonable delay.
* Obtain all necessary rights and permissions for materials supplied to the Company.
The Company is not responsible for delays caused by missing information or delayed approvals.

# 3. Fees and Payment
All fees are stated in the applicable proposal or invoice.
Unless otherwise agreed:
* Payments are due immediately upon invoice.
* Payments are non-refundable once work has commenced.
* The Client is responsible for all applicable bank charges and transfer fees.
* Late payments may result in suspension of services.

Marketing outcomes depend on numerous factors outside the Company's control.
Accordingly:
* No guarantee is made regarding revenue, sales, profits, leads, rankings, advertising performance, or business growth.
* Any examples, projections, or case studies are illustrative only and do not constitute guarantees.

# 5. Third-Party Platforms
The Company may use third-party platforms including but not limited to Meta, Google, LinkedIn, TikTok, YouTube, CRM systems, automation software, and advertising platforms.
The Company is not responsible for:
* Platform outages
* Account suspensions
* Algorithm changes
* Policy changes
* Technical failures
* Third-party service interruptions

# 6. Intellectual Property
Unless otherwise agreed:
* All intellectual property created by the Company remains the property of the Company until full payment has been received.
* Upon full payment, the Client receives a non-exclusive right to use the agreed deliverables for their intended business purposes.
The Company retains ownership of all proprietary methods, templates, frameworks, know-how, and internal processes.

# 7. Confidentiality
Both parties agree to keep confidential all non-public business information received during the business relationship.
This obligation survives termination of the agreement.

# 8. Limitation of Liability
To the maximum extent permitted by applicable law:
* The Company's total liability shall not exceed the total fees paid by the Client for the relevant services.
* The Company shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data.

The Client agrees to indemnify and hold harmless BKM MARKETING – FZCO against any claims, damages, liabilities, costs, or expenses arising from:

Either party may terminate the business relationship in accordance with any written agreement.

Neither party shall be liable for delays or failures resulting from events beyond its reasonable control, including but not limited to natural disasters, war, governmental actions, internet failures, labor disputes, pandemics, or other force majeure events.

The Client agrees to use the Company's services only for lawful purposes and in compliance with all applicable laws and regulations.
The Company reserves the right to refuse or terminate services involving unlawful or unethical activities.

Updated versions become effective upon publication on the Company's website unless otherwise stated.

# 14. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the United Arab Emirates.
